EULA - End User License Agreement

LIGATURE LICENSE AGREEMENT
IMPORTANT: CAREFULLY READ THIS LICENSE AGREEMENT BEFORE OPENING THIS PACKAGE. BY OPENING THIS PACKAGE YOU ACCEPT THE TERMS OF THIS LICENSE AGREEMENT.

If you do not agree to these terms and conditions, please return this unopened package with the other components of this product to the place of purchase and your money will be refunded. No refunds will be given if this package is opened or component parts are missing.
The term "Product" means the enclosed diskette with computer software (the "Program") and all related documentation (the "User Manual"). The Program and Laser Manual are proprietary products of Ligature Ltd. ("Ligature") and are protected under international copyright laws. Ligature reserves exclusive title, copyright and ownership of the Program, the User Manual, and any copies or modifications thereof and of the Ligature trademarks.
LICENSED USES
Ligature hereby grants you the license to copy the Program into the memory of a single computer. Under no circumstances may the Program be operated on more than one computer at a time. A separate license fee must be paid for each user. If several persons use the Program at the same time or on a network, a license fee for each user is required. Any questions concerning multiple users should be directed to Ligature (tel. +972-2-6513553).
You may not duplicate the Program or the User Manual in whole or in part, except that you may make one copy of the Program for backup or archival purposes. All copies must contain Ligature's copyright notice.
You may terminate this license at any time by destroying the original and all copies of the Program and User Manual in whatever form.
RESTRICTIONS
You may not rent, lease, sub-license or otherwise transfer the Product (or any copy) in whole or in part, to any other person except that you may transfer the Product and license permanently to another person if that person agrees to accept all of the terms and conditions of this License and if you provide Ligature with the name and address of the person to whom the license is transferred. If you transfer the Product, you must at the same time either transfer all copies of the Product to the same person, or destroy any copies not transferred.
You agree not to copy, alter, translate (electronically or otherwise), de-compile or reverse engineer the Product or create any derivative works based on the Product to make it operate on non-compatible hardware. You also agree not to remove, alter or cause not to be displayed, any trademarks, copyright notice or start-up messages contained in the Program or User Manual.

THIS LICENSE WILL TERMINATE AUTOMATICALLY IF YOU FAIL TO COMPLY WITH THE FOREGOING TERMS AND CONDITIONS.

LIMITED WARRANTY
Ligature warrants the physical diskettes and hardware components of the Product to the original purchaser to be free of defects in materials and workmanship under normal use for a period of sixty (60) days from the date of purchase. This Limited Warranty does not cover any damage resulting from accident, neglect, or abuse, nor does it cover any Product which has been altered or changed. Claims under this Limited Warranty must be made within the warranty period by returning the defective diskettes or hardware component to Ligature with proof of purchase. Ligature will, at its option, either replace the Product or refund to you the amount paid for the Product. REPLACEMENT OF THE PRODUCT OR REFUND OF THE PURCHASE PRICE IS YOUR SOLE AND EXCLUSIVE REMEDY.
ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE DISKETTES AND HARDWARE IS LIMITED IN DURATION TO THE DURATION OF THIS WARRANTY, EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
Some states do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you. This warranty gives you specific legal rights, and you may also have other rights which vary Tom state to state.
DISCLAIMER
NO WARRANTY IS MADE WITH RESPECT TO THE PROGRAM OR USER MANUAL AND THE PROGRAM AND USER MANUAL ARE SOLD AND DELIVERED ON AN "AS IS" BASIS. LIGATURE DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO THE PROGRAM AND MANUAL, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, LIGATURE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT ERROR OR INTERRUPTION.
THE TOTAL LIABILITY OF LIGATURE AND ITS DISTRIBUTORS AND DEALERS SHALL NOT EXCEED THE PURCHASE PRICE YOU PAID FOR THE PRODUCT. REPLACEMENT OF THE PRODUCT OR REFUND OF THE PURCHASE PRICE SHALL BE YOUR SOLE AND EXCLUSIVE REMEDIES FOR ANY AND ALL CLAIMS AGAINST LIGATURE, ITS DEALERS AND DISTRIBUTORS ARISING OUT OF OR IN CONNECTION WITH THE PRODUCT, WHETHER BASED ON BREACH OF WARRANTY OR IN CONTRACT, TORT OR OTHERWISE.
IN NO EVENT WILL LIGATURE, ITS DEALERS OR DISTRIBUTORS BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL (INCLUDING ANY LOST PROFITS, OR LOST SAVINGS), ARISING FROM THE USE OF THE PROGRAM, OR INABILITY TO USE THE PRODUCT, EVEN IF LIGATURE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LIGATURE SHALL NOT BE LIABLE FOR ANY DAMAGE TO ANY DATA OR PROPERTY WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, BY USE OF THE PROGRAM NOR IS LIGATURE RESPONSIBLE FOR PROBLEMS CAUSED BY INTERACTION OF THE PROGRAM WITH OTHER SOFTWARE.
Some states do not allow die exclusion or limitations of incidental or consequential damages, so the above limitations or exclusions may not apply to you.

SUPPORT
Ligature may from time to time revise or update its Products. Such updates and revisions will be supplied only to registered users. The terms of this License will also apply to updates and revisions.
In order to receive information about revisions, updates and special support plans, you must complete the enclosed registration card and return it to Ligature.

ACKNOWLEDGEMENT
BY OPENING THIS PACKAGE YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS AND THAT THE TERMS OF THIS AGREEMENT WILL ALSO APPLY TO ANY UPGRADES THAT YOU MAY RECEIVE. The terms of this License contain the entire understanding between the parties and supersedes all proposals or prior agreements, verbal or written, and any other communications between parties relating to the Product.
This agreement shall be construed in accordance with and governed for all purposes by the substantive law and public policy of the State of New York applicable to contracts made and performed wholly within that State.

U.S. GOVERNMENT RESTRICTED RIGHTS
The Product and documentation is provided with restricted rights. The use, duplication or disclosure by the Government is subject to restrictions as set forth in subdivision (b)(3)(ii) of The Rights in Technical Data and Computer Software Clause at 252.227-7013.
